General Terms and Conditions

Please note: This is a convenience translation. Pursuant to Section 12(3) below, the language of the contract is German and the German version is binding; translations are subordinate to it.
Section 1 Scope, contracting party
(1) These General Terms and Conditions apply to all orders placed through the online shop collion.de and collion.com.

(3) The shop is directed at traders (Section 14 of the German Civil Code, BGB) — no formal VAT ID check takes place during the ordering process. Should a contract be concluded with a consumer (Section 13 BGB) in an individual case, the provisions protecting consumers apply in addition, in particular the instructions on withdrawal.
(4) Collion supplies electronics development businesses with tools, instruments and IP licences — industry, small and medium-sized enterprises, engineering offices, freelancers, institutions in training, education and research as well as public authorities, in each case within the scope of their professional or commercial activity. Natural persons (for example freelancers) who order within the scope of their commercial or self-employed professional activity likewise act as traders within the meaning of Section 14 BGB, irrespective of their legal form.
Section 2 Conclusion of contract
(1) The presentation of items in the shop does not constitute a binding offer but an invitation to place an order (invitatio ad offerendum).
(2) By completing the ordering process, the customer submits a binding offer to purchase.
(3) The contract is concluded only upon our acceptance — by dispatch of the goods or by a separate order confirmation, not upon receipt of the order.
(4) If no payment is received within 7 days where payment in advance has been chosen, we are entitled to withdraw from the contract.
Section 3 Prices, value added tax
(1) Unless stated otherwise, all prices quoted are net prices in euros plus value added tax at the applicable statutory rate.
(2) For deliveries to traders in other EU Member States holding a valid VAT identification number notified to us, invoicing is carried out under the reverse charge procedure (the recipient is liable for the tax) — value added tax is then not shown. The VAT identification number provided must match the company name and the billing address. If the delivery address differs from the billing address relevant under the VAT registration, the differing delivery address must be stated in addition to the billing address, provided it is located in the same country.
(3) If no clear match between VAT identification number, company name and billing address can be established, we reserve the right to charge German value added tax (currently 19 %) or to cancel the order, where applicable refunding any payment already made.
(4) We check the VAT identification number internally after receipt of the order and before acceptance of the order (see Section 2(3)) — not automatically during the ordering process. The results of the check are documented.
Section 4 Payment methods
We offer the following payment methods:
- Payment in advance
- PayPal
- Invoice — for business customers, training and research institutions and public authorities, subject to individual approval by us. To order on account, please contact us after registering in the web shop so that we can add the invoice payment option to your customer account. We are also happy to accept your order by fax or in electronic form.
Section 5 Delivery, shipping
The countries we supply, together with the applicable shipping costs and delivery times, are listed on our Shipping and payment page, which thereby forms an integral part of these General Terms and Conditions.
Section 6 Retention of title
The goods delivered remain our property until payment has been made in full.
Section 7 Warranty
The statutory warranty rights apply.
Section 8 Voluntary right of return
In addition to the statutory rights (see the instructions on withdrawal, where applicable), we grant all customers — including traders — a right of return of four weeks, provided the goods are undamaged. Statutory warranty claims remain unaffected.
Section 9 Digital content, licences
The acquisition of IP core licences and digital content is additionally governed by separate licence terms (EULA) supplied with the respective product.
Section 10 Liability
We are liable without limitation for intent and gross negligence as well as under the German Product Liability Act. For slight negligence we are liable only in the event of a breach of material contractual obligations (cardinal obligations), limited to the foreseeable damage typical of the contract.
Section 11 Product images and editorial responsibility
(1) Content on this website — in particular product texts and product images — is editorially curated and may in that process be created or edited using AI-assisted tools, for example in order to present the application and scope of delivery unambiguously, or to identify accessories that are visible in an image but not included in the delivery.
(2) Editorial responsibility for the content on collion.de and collion.com lies with Andreas Bergmann, Am Schmiedlacker 56, D-84028 Landshut, Germany (details as in the legal notice).
Section 12 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Landshut (the company's registered office, see Section 1(2)).
(3) The language of the contract is German. In international contract negotiations the German version is binding; any translations are subordinate to it.
